Terms of Service

Important Notice to EU Consumers

If you are a consumer habitually resident in an EU Member State, you have the right to bring legal proceedings in your home country courts (Article 6, Rome I Regulation). These Terms cannot deprive you of the mandatory protections afforded by the laws of your place of residence.

1. Acceptance of Terms

By accessing, browsing, or using the Caliplaces platform (including the website at caliplaces.com and the mobile applications for iOS and Android), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. Your use of the Service constitutes your acceptance of these Terms in their entirety.

These Terms apply to all users of the Service, including but not limited to users who are contributors of user-generated content, information, and other materials ("Users"). Any person accessing the Service on behalf of a business entity represents and warrants that they are authorized to do so.

If you are entering into these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that entity will be liable for any breach of these Terms by you or any individual within that entity.

For users from the EU/EEA: These Terms are provided in English. Member State laws may allow these Terms to be concluded in other official EU languages. Please contact us at legal@caliplaces.com if you require a translation.

2. Definitions

As used in these Terms, the following terms shall have the meanings set forth below:

  • "Caliplaces" or "We" or "Us" or "Our": Refers to Caliplaces s.r.o., a Czech limited liability company (společnost s ručením omezeným) registered in the Commercial Register of the Municipal Court in Prague, IČO: 23311207, registered address: Uralská 689/7, Bubeneč (Praha 6), 160 00 Praha.
  • "Service": The Caliplaces mobile applications (iOS and Android versions), websites (caliplaces.com and caliplaces.app), and all related features, content, technology, and services provided by Caliplaces, including but not limited to the ability to discover calisthenics parks and outdoor workout spots, leave reviews and ratings, book trainers and coaches, attend events, message trainers, submit new places, and access premium features through subscriptions.
  • "User" or "You": Any individual or legal entity that accesses, uses, or interacts with the Service in any manner.
  • "Consumer": Any natural person acting for purposes outside their trade, business, or profession, as defined in the EU Consumer Rights Directive (2011/83/EU).
  • "Content": All text, images, photos, videos, reviews, ratings, comments, descriptions, and any other materials submitted, created, or displayed by Users on the Service.
  • "User-Generated Content (UGC)": Content created and submitted by Users, including reviews, ratings, photos of parks, place submissions, and descriptions.
  • "Trainer" or "Coach": An individual or entity offering fitness training, coaching, or related services through the Service's marketplace. Trainers may be independent contractors or affiliated with partner organizations.
  • "Marketplace": The portion of the Service enabling Users to discover Trainers, book training sessions, attend events, and engage in transactions, including payment processing.
  • "Booking": A confirmed reservation for a training session, event attendance, or other service arranged through the Marketplace.
  • "Premium Features" or "Subscription": Optional paid features and services offered through the Service, including extended search capabilities, trainer messaging, event registration, and premium trainer profiles.
  • "Account": Your personal account on the Service, created via Clerk authentication, through which you access the Service and manage your Bookings, Subscriptions, and Content.
  • "Platform Rules": These Terms, the Acceptable Use Policy, the Marketplace Terms, the Refund & Cancellation Policy, and all other terms and policies referenced herein.

3. Eligibility and Age Requirements

3.1 General Eligibility

To use the Service, you must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to access and use the Service for general purposes, including viewing parks, reading reviews, and basic profile creation.

3.2 Age Restrictions for Purchases and Bookings

You must be at least 18 years old to make purchases on the Marketplace, including booking Trainers, purchasing Subscriptions, attending paid events, or engaging in any transaction involving payment processing through Stripe or RevenueCat.

If you are between 16 and 18 years old, you may use the Service to discover parks and trainers and leave reviews, but you must obtain parental or guardian consent to make any purchases. We reserve the right to verify your age at any time.

3.3 Business Users

If you are a business entity, a trainer using the Service to offer services, or any other non-natural person, you must be at least 18 years old and legally registered to conduct business in your jurisdiction. See our separate Trainer & Coach Terms for business-specific requirements.

3.4 Prohibited Users

You may not use the Service if you:

  • Have been permanently suspended or banned from the Service;
  • Are a person or entity engaged in illegal activity or sanctioned by any government or international authority;
  • Are from or located in a country subject to comprehensive US sanctions;
  • Have violated these Terms in the past and have not been expressly re-authorized;
  • Are unable to form a binding contract with Caliplaces under applicable law.

4. Account Registration and Security

4.1 Account Creation via Clerk

You may create an Account through our Service using Clerk, a third-party authentication provider. By creating an Account, you agree to provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.

You may authenticate via email, phone number, social login (e.g., Google, Apple), or other methods we may support from time to time. Each authentication method is subject to the terms of the third-party provider.

4.2 Accuracy of Information

You represent and warrant that all information provided during registration is true, accurate, complete, and not misleading. You agree to update your Account information if it changes. Providing false information may result in immediate Account suspension or termination without refund.

4.3 Account Security Obligations

You are responsible for:

  • Maintaining the confidentiality and security of your login credentials, including your password;
  • Notifying us immediately of any unauthorized access or suspected security breach;
  • Preventing others from accessing your Account by maintaining password security and not sharing credentials;
  • Ensuring no one else uses your Account to make Bookings or purchases on your behalf.

You are fully liable for any unauthorized activity on your Account. Caliplaces is not responsible for any loss or damage arising from your failure to protect your Account credentials.

4.4 Account Termination

You may delete or close your Account at any time by accessing Account settings. Upon deletion, your personal data will be handled in accordance with our Privacy Policy. Some data may be retained for legal, compliance, or safety reasons.

4.5 Multiple Accounts

You may not create multiple Accounts to circumvent bans, obtain additional benefits, or engage in any deceptive practice. Maintaining multiple Accounts in violation of these Terms may result in suspension of all associated Accounts.

5. The Service

5.1 Service Overview

The Caliplaces Service provides a digital platform for discovering and sharing information about calisthenics parks and outdoor workout locations, connecting with fitness trainers and coaches, booking training sessions and events, and accessing a community of fitness enthusiasts. The Service includes:

  • Park Discovery: A searchable database of calisthenics parks and outdoor workout spots with maps, photos, reviews, and ratings.
  • Reviews and Ratings: Ability to contribute reviews, photos, and ratings for parks and trainers.
  • Trainer Marketplace: Listings of fitness trainers and coaches offering training sessions, classes, and coaching services.
  • Bookings: Ability to book training sessions and register for events offered through the Marketplace.
  • Messaging: Communication tools to message trainers (may be premium-only for some users).
  • Place Submissions: Ability to submit and share new parks and workout locations.
  • Premium Subscriptions: Optional paid access to advanced features, additional search filters, and unlimited messaging.

5.2 "As-Is" Provision

The Service is provided on an "as-is" and "as-available" basis. While we strive to maintain accuracy and up-to-date information, we do not guarantee that:

  • Parks listed are still operational, open, or accurately described;
  • Trainer profiles or availability information is current;
  • Reviews or ratings are accurate or unbiased;
  • The Service will be error-free, uninterrupted, or free from malware;
  • Photos, descriptions, or other User-Generated Content reflects current conditions.

5.3 Service Modifications

We may modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable for any loss or damage to you resulting from modifications, suspension, or discontinuance of any portion of the Service. In the case of discontinuance of a paid Service feature, we will provide 30 days' notice and offer a pro-rata refund for any prepaid Subscriptions.

5.4 Third-Party Integrations

The Service may integrate with third-party services and platforms, including Stripe (payments), RevenueCat (in-app purchases and subscriptions), Clerk (authentication), and others. Your use of these integrations is subject to the terms and privacy policies of the respective third parties. Caliplaces is not responsible for the availability, functionality, or conduct of third-party services.

5.5 Trainers Are Independent Contractors

Trainers and coaches listed on the Marketplace are independent contractors, not employees or agents of Caliplaces. Caliplaces does not control their conduct, qualifications, insurance, or performance. Each trainer is solely responsible for maintaining their professional credentials, liability insurance, and compliance with local regulations. See our Trainer & Coach Terms for full details.

6. User Content

6.1 Your Ownership and Responsibility

You retain all ownership rights to any original Content you create and submit to the Service, including reviews, ratings, photos, place descriptions, and comments. However, by submitting Content to the Service, you grant Caliplaces and all Service users certain rights as described in Section 6.2 below.

You are solely responsible for the accuracy, legality, and non-infringement of any Content you submit. You represent and warrant that:

  • You own or have the right to license the Content;
  • The Content does not violate any third-party intellectual property rights;
  • The Content does not contain unlawful, harassing, defamatory, or fraudulent material;
  • The Content does not infringe on anyone's privacy or data protection rights;
  • If the Content includes photos of people, you have obtained their consent to share the photos.

6.2 License Grant

By submitting Content to the Service, you grant Caliplaces a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to:

  • Use, copy, reproduce, modify, and adapt the Content;
  • Display, distribute, and transmit the Content to Service users;
  • Create derivative works based on the Content;
  • Sublicense these rights to third parties for promotional and business purposes;
  • Archive and preserve the Content for historical and analytical purposes.

This license includes the right to use your Content without payment or credit to you, though we will attribute reviews and place submissions to your Account name as displayed on the Service.

6.3 Content Standards and Moderation

We reserve the right to review, edit, or remove any Content that violates these Terms or our Acceptable Use Policy. Prohibited Content includes:

  • Illegal Content: Content that promotes illegal activity or violates law.
  • Hateful Content: Content containing slurs, discrimination, or promotion of violence based on protected characteristics.
  • Defamation: False, malicious statements about individuals or businesses.
  • Harassment and Threats: Content threatening, bullying, or harassing any person.
  • Spam and Commercial Abuse: Unsolicited commercial content, fake reviews, or content designed to manipulate rankings.
  • Impersonation: Pretending to be another person or organization.
  • Adult Content: Sexually explicit or pornographic material (except artistic/educational use in adult parks context).
  • Intellectual Property Violation: Content infringing copyrights, trademarks, or other IP rights.
  • Privacy Violation: Sharing private information, photos without consent, or other privacy-violating material.
  • Misinformation: Content deliberately spreading false information about health, safety, or services.
  • Scam or Fraud: Content promoting scams, phishing, or financial fraud.

6.4 Moderation Process

Caliplaces uses a combination of automated systems and human review to identify and remove prohibited Content. We are not responsible for monitoring all Content, but we will remove reported Content in accordance with our DSA Notice & Action Policy when we have actual knowledge of legal violations.

If your Content is removed, we will notify you with the reason when feasible. You may appeal removal decisions by contacting us at legal@caliplaces.com.

6.5 Right to Delete Content

You may delete Content you have submitted by accessing your Account. However, copies of deleted Content may persist in backups for a limited time, and Content may have been redistributed or reposted by other users before deletion.

6.6 No Removal Guarantee

While we endeavor to remove harmful Content promptly, we do not guarantee that all prohibited Content will be identified or removed immediately. We are not liable for any harm caused by prohibited Content remaining on the Service.

6.7 AI Training and Analytics

Caliplaces may use anonymized, aggregated Content for analytics, research, and improvement of the Service algorithms and AI features. No personally identifiable information will be used without your explicit consent (see Privacy Policy for details). You may opt out of analytics by adjusting your Account settings.

7. Marketplace Usage and Bookings

7.1 Marketplace Overview

The Marketplace enables you to browse, book, and pay for training sessions, events, and services offered by Trainers. Caliplaces acts as a technology platform facilitating these transactions but is not a party to any contract between you and a Trainer.

7.2 Booking Terms

When you complete a Booking through the Service, you are entering into a direct contract with the Trainer for the provision of services. Caliplaces is not responsible for:

  • The quality, safety, or legality of services provided by a Trainer;
  • The Trainer's qualifications, licenses, or professional credentials;
  • The Trainer's failure to perform, cancellation, or breach of contract;
  • Any injury, harm, or loss arising from services provided by a Trainer;
  • Disputes between you and a Trainer.

7.3 Trainer Qualifications and Liability

Each Trainer is solely responsible for maintaining:

  • All required professional certifications and licenses;
  • Personal liability and professional indemnity insurance;
  • Compliance with local health, safety, and regulatory requirements;
  • Clear communication of their qualifications and limitations to you.

Caliplaces does not verify trainer credentials and disclaims responsibility for any misrepresentations by trainers. We recommend researching trainers independently before booking.

7.4 Your Booking Responsibilities

When you make a Booking, you agree to:

  • Provide accurate information about your fitness level and any relevant health issues;
  • Disclose any medical conditions that may affect training;
  • Assume all physical risks associated with training activities;
  • Comply with all safety instructions provided by the Trainer;
  • Arrive on time or provide reasonable cancellation notice;
  • Treat the Trainer and other participants with respect.

7.5 Booking Confirmation and Communication

Bookings are confirmed when you complete payment. You will receive a confirmation email or in-app notification. The Trainer may message you to discuss details, location, or any requirements. You are responsible for monitoring your messages and confirming attendance.

7.6 Assumption of Risk

You acknowledge that fitness training and outdoor activities carry inherent risks of physical injury, death, or serious harm. By making a Booking, you assume all such risks and acknowledge that:

  • You are physically fit enough to participate in the activity or have disclosed any limitations;
  • You have consulted with a medical professional if you have any health concerns;
  • You accept full responsibility for any injury, illness, or harm arising from your participation.

7.7 Modifications and Cancellations by Trainers

Trainers may cancel or modify bookings due to emergency, illness, or other unforeseen circumstances. The Marketplace Terms specify refund policies for trainer cancellations. See the Refund & Cancellation Policy for full details.

7.8 Events

Some Trainers may offer group events or classes through the Service. Event registrations are subject to the terms set by the event organizer. Caliplaces is not responsible for event cancellation, safety, or quality.

7.9 Messaging and Communication

The Service may provide messaging functionality to communicate with Trainers. Messages between you and Trainers may be archived by Caliplaces for safety, compliance, and dispute resolution purposes. Do not share sensitive information (credit cards, passwords, personal identification numbers) via messaging.

7.10 Dispute Resolution Between Users and Trainers

Disputes between you and a Trainer regarding service quality, cancellations, or refunds should first be resolved directly between you and the Trainer. Caliplaces may mediate disputes through its customer support team but is not obligated to do so. For consumer disputes, you may escalate through our ODR platform or pursue legal action in accordance with Section 15.

8. Payments and Billing

8.1 Payment Processing

Caliplaces processes payments through third-party payment processors:

  • Stripe: For web payments, booking payments, and Marketplace transactions.
  • RevenueCat: For in-app purchases, subscriptions, and premium feature access on iOS and Android.

Your payment information is processed by these providers in accordance with their terms and privacy policies. Caliplaces does not store full credit card numbers but receives transaction confirmations from payment processors.

8.2 Pricing and Taxes

All prices displayed on the Service are in EUR unless otherwise specified. Prices are subject to change with reasonable notice. If you are a consumer in the EU, prices include VAT calculated based on your billing address. For business users or users outside the EU, VAT may be applied differently.

You are responsible for any applicable taxes, duties, or regulatory fees beyond the displayed price. We will comply with applicable tax laws and may be required to collect and remit VAT on your behalf.

8.3 Booking Payment Terms

When you complete a Booking, payment is processed immediately through your selected payment method. The payment is held in Caliplaces' merchant account and transferred to the Trainer in accordance with our Marketplace Terms and payout schedules.

Caliplaces retains a service fee (typically 15-25% of transaction value, displayed at checkout) to cover payment processing, platform infrastructure, customer support, and fraud prevention.

8.4 Subscription Charges

Premium Subscriptions are charged on a recurring basis (monthly or annual, as selected). Your first charge occurs when you subscribe, and subsequent charges occur on the same date each renewal period, unless you cancel beforehand.

Billing statements will be sent to the email address associated with your Account. Review your statements for accuracy. Contact us immediately if you identify any unauthorized or erroneous charges.

8.5 Payment Method Authorization

By providing a credit card, debit card, or other payment method, you authorize Caliplaces and our payment processors to:

  • Charge your payment method for all transactions you initiate;
  • Store your payment method securely for recurring charges;
  • Attempt to charge your payment method if an initial charge fails;
  • Refund amounts to your payment method if applicable.

8.6 Failed Payments

If a payment fails due to insufficient funds, expired payment method, or other reason, we will notify you and may attempt to process the payment again. If payment continues to fail, your Subscription or Booking may be cancelled, and access to premium features may be revoked.

8.7 Disputed Charges

If you dispute a charge, contact us immediately at support@caliplaces.com. Do not initiate a chargeback without contacting us first, as chargebacks may result in Account suspension. We will investigate disputes in good faith and issue refunds if warranted.

8.8 Billing Information Accuracy

You represent and warrant that any billing information you provide is accurate and complete. You must update your billing information if it changes. Providing false billing information is prohibited and may result in Account suspension.

8.9 No Refund of Payments for Service Access

Payments for access to free Service features (e.g., browsing parks, viewing Trainer profiles) are non-refundable. Refund policies for Subscriptions and Bookings are detailed in our Refund & Cancellation Policy and Marketplace Terms.

9. Subscriptions and Auto-Renewal

9.1 Subscription Plans

Caliplaces offers optional Premium Subscription plans providing access to advanced features, such as:

  • Advanced search and filtering of parks and trainers;
  • Unlimited messaging with trainers;
  • Premium trainer profiles and verified badges;
  • Event registration and priority booking;
  • Ad-free browsing experience.

Specific features included in each plan are displayed when you select a plan. Features may change with notice.

9.2 Subscription Billing and Renewal

Subscriptions are billed in advance on a monthly or annual basis, depending on your selection. Your Subscription automatically renews at the end of each billing period unless you cancel beforehand. Auto-renewal will continue until you affirmatively cancel your Subscription through your Account settings.

9.3 Clear Terms for Auto-Renewal (Restoration Laws Compliance)

Before you subscribe, you acknowledge and consent to:

  • The subscription price and frequency of billing;
  • Automatic renewal at the end of each billing period;
  • Continued charging of your payment method until you cancel, even if you do not use the Service;
  • Your responsibility to cancel if you wish to stop charges (cancellation is free and easy);
  • A 30-day written notice of any price increases, with the right to cancel at no penalty.

9.4 Cancellation of Subscriptions

You may cancel your Subscription at any time through your Account settings under "Subscriptions" or "Billing." Cancellation is effective immediately, and you will retain access to Premium features through the end of your paid billing period. No refund will be issued for the portion of your billing period remaining after cancellation.

If you cancel before your billing cycle renews, you will not be charged again. You may reactivate a cancelled Subscription by subscribing again.

9.5 Price Increases

We may increase Subscription prices at any time, but we will provide at least 30 days' notice to existing subscribers. The notice will specify the new price and your right to cancel without penalty. If you do not cancel before the price increase takes effect, you consent to the new price.

9.6 Free Trials

We may offer free trial periods for Subscriptions. Unless explicitly stated, free trials are limited to one per user. At the end of a free trial, your Subscription will automatically renew, and you will be charged the full subscription price unless you cancel before the trial period ends.

9.7 In-App Purchases (iOS/Android)

Subscriptions and premium features purchased through iOS or Android in-app purchase systems are subject to the respective app store's terms and refund policies. Refund requests for in-app purchases must be made through the App Store or Google Play, not through Caliplaces. Apple and Google control refund eligibility and processing timelines.

9.8 Suspension for Non-Payment

If a Subscription payment fails and we cannot collect payment after multiple attempts, your Subscription will be suspended or cancelled. Your Account may be flagged for non-payment, and access to Premium features will be revoked until payment is received.

10. Intellectual Property Rights

10.1 Caliplaces' IP Ownership

Caliplaces owns or has licensed all intellectual property in the Service, including:

  • The Caliplaces name, logo, trademarks, and branding;
  • The Service software, code, and underlying technology;
  • The design, layout, and "look and feel" of the website and apps;
  • Databases, algorithms, and search features;
  • Original content created by Caliplaces team (distinct from User-Generated Content).

These intellectual property rights are protected by Czech law, EU law, international copyright and trademark treaties, and other applicable laws.

10.2 Limited License to Use the Service

Subject to these Terms, Caliplaces grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license is subject to all restrictions in these Terms and terminates immediately upon breach or expiration of these Terms.

10.3 Restrictions on Use

You may not, without Caliplaces' prior written consent:

  • Copy, download, reproduce, or store the Service or its content;
  • Modify, adapt, translate, or create derivative works based on the Service or its content;
  • Reverse engineer, decompile, disassemble, or hack the Service;
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices;
  • Sell, rent, lease, or distribute the Service or its content;
  • Use the Service to build competing products or services;
  • Scrape, crawl, or systematically access the Service's database or content;
  • Use the Service for commercial purposes without authorization.

10.4 Attribution of User-Generated Content

User-Generated Content (reviews, place submissions, photos) will be attributed to your Account name and profile. You may request removal of attribution in certain circumstances by contacting us.

10.5 Copyright Infringement Notices

If you believe Content on the Service infringes your copyright, you may submit a takedown notice to legal@caliplaces.com in accordance with applicable law (GDPR Article 17 for EU users, Digital Services Act Article 24 for platform obligations). Your notice must include:

  • Identification of the infringing Content;
  • Your copyright and proof of ownership;
  • A statement under penalty of perjury that the notice is accurate;
  • Your signature or electronic signature.

We will investigate and remove infringing Content when we have actual knowledge, in accordance with our DSA Policy.

10.6 Counternotice

If your Content was removed and you believe it does not infringe, you may submit a counternotice. If we receive a valid counternotice and have no further evidence of infringement, we may restore the Content.

10.7 No License to Your IP

Nothing in these Terms grants Caliplaces any right to your personal data, identity, or intellectual property beyond the Content license described in Section 6.2. We respect your privacy and comply with the GDPR in handling your personal data.

11. Prohibited Conduct

11.1 Unacceptable Use Policy

You must comply with all applicable laws and the Acceptable Use Policy in using the Service. Prohibited conduct includes but is not limited to:

11.2 Illegal Activity

You may not use the Service to commit, facilitate, or promote any illegal activity, including fraud, theft, hacking, money laundering, drug trafficking, or any violation of law.

11.3 Harassment, Abuse, and Threats

You may not engage in harassment, bullying, or threatening behavior toward other users, trainers, or Caliplaces staff. This includes:

  • Sending unsolicited or threatening messages;
  • Doxxing (publishing personal information without consent);
  • Cyberstalking or persistent unwanted contact;
  • Threats of violence or harm.

11.4 Hateful Content

You may not create, post, or share content that promotes hate, discrimination, or violence based on protected characteristics (race, ethnicity, religion, gender identity, sexual orientation, disability, national origin, etc.).

11.5 Fraudulent Activity

You may not engage in fraudulent transactions, false bookings, fake reviews, or manipulation of the Service. This includes:

  • Creating fake accounts or bookings;
  • Posting fake or incentivized reviews;
  • Chargebacks for services actually received;
  • Using stolen payment methods or fraudulent identity documents.

11.6 Privacy Violations

You may not:

  • Share others' personal information without consent;
  • Collect or harvest personal data from the Service;
  • Post intimate or explicit photos without consent;
  • Violate anyone's privacy rights or GDPR rights.

11.7 Intellectual Property Violation

You may not infringe copyrights, trademarks, or other IP rights. This includes republishing copyrighted content without permission or using Caliplaces' marks without authorization.

11.8 Technical Abuse

You may not:

  • Attempt to hack, crack, or breach the Service's security;
  • Deploy malware, viruses, or other malicious code;
  • Conduct denial-of-service attacks or other network abuse;
  • Scrape or systematically access the database;
  • Reverse engineer or decompile the software;
  • Probe vulnerabilities without authorization (report them instead).

11.9 Spam and Manipulation

You may not send spam, excessive messages, or engage in ranking manipulation, including:

  • Sending unsolicited commercial messages;
  • Creating multiple accounts for ranking or review manipulation;
  • Paying for fake reviews or ratings;
  • Automated messaging or bot activity.

11.10 Commercial Restrictions

Unless you are an authorized Trainer, you may not:

  • Advertise services or products within the Service;
  • Solicit payments or bookings outside the Marketplace;
  • Promote competing services;
  • Use the Service for commercial purposes without authorization.

11.11 Misinformation

You may not deliberately spread false or misleading information about parks, trainers, services, health claims, or safety. This includes false reviews intended to harm a business.

11.12 Impersonation

You may not pretend to be another person, business, or Caliplaces employee. This includes:

  • Using someone else's name or photo;
  • Falsely claiming affiliation with Caliplaces;
  • Impersonating a trainer or verified user.

11.13 Enforcement and Remedies

Caliplaces reserves the right to investigate violations, remove Content, suspend or terminate Accounts, and pursue legal action when appropriate. Violation of the Acceptable Use Policy may result in:

  • Removal of offending Content;
  • Temporary Account suspension;
  • Permanent Account termination;
  • Forfeiture of Account credits or subscriptions without refund;
  • Civil or criminal legal action.

11.14 Reference to Acceptable Use Policy

The full Acceptable Use Policy is available at /legal/acceptable-use. In case of conflict between these Terms and the Acceptable Use Policy, the more restrictive provision applies.

12. Termination and Account Suspension

12.1 Termination by You

You may terminate your Account and cease using the Service at any time by deleting your Account through Account settings. Termination is effective immediately upon deletion.

12.2 Termination by Caliplaces

Caliplaces may terminate your Account and your rights to use the Service immediately without notice if:

  • You violate these Terms or the Acceptable Use Policy;
  • You engage in illegal activity or fraud;
  • We determine your Account poses a safety or security risk;
  • We detect unauthorized access or suspicious activity on your Account;
  • You engage in harassment or abuse of other users or staff;
  • You breach our content guidelines repeatedly;
  • We determine continuing your Account violates law or regulatory obligations.

12.3 Suspension

Caliplaces may temporarily suspend your Account if:

  • Payment fails and cannot be collected;
  • We are investigating a potential violation;
  • We determine suspension is necessary for safety or security;
  • We receive a legal demand or investigation.

Suspension may be lifted if the underlying issue is resolved. We will notify you of suspension when feasible, unless we cannot due to safety or legal concerns.

12.4 Effects of Termination

Upon termination or suspension:

  • Your right to access and use the Service immediately ceases;
  • Your Account and all associated data will be deleted after a retention period;
  • You forfeit any Subscription credits and Premium access;
  • Outstanding bookings may be cancelled; refund eligibility depends on the circumstances and our Refund Policy;
  • Content you posted may remain on the Service (we retain limited archives);
  • We may retain data as required by law or for legal purposes.

12.5 No Refund Upon Termination

Except where required by law, we will not refund any charges, credits, or payments associated with your Account upon termination for violation of these Terms. EU consumers retain statutory refund rights under the Consumer Rights Directive and applicable law.

12.6 Survival

The following sections survive termination: Limitation of Liability, Indemnification, Intellectual Property, Governing Law, and any provision necessary to resolve disputes or collect amounts owed.

12.7 Reactivation

Caliplaces may permit reactivation of a deleted Account at its sole discretion. However, any Account permanently suspended or terminated for serious violations (fraud, illegal activity, abuse) will not be reactivated.

13. Disclaimers and Limitation of Liability

13.1 "AS-IS" Disclaimer

THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.

Caliplaces does not warrant that the Service will be:

  • Uninterrupted, error-free, or free from malware or security vulnerabilities;
  • Accurate, complete, or up-to-date;
  • Compatible with all devices or software;
  • Continuously available or accessible.

13.2 Third-Party Content Disclaimer

Caliplaces does not endorse, warrant, or verify the accuracy of:

  • User-Generated Content (reviews, ratings, photos, place submissions);
  • Trainer qualifications, expertise, or service quality;
  • Park information, accessibility, or current operational status;
  • Third-party integrations, plugins, or external links.

All third-party content is the responsibility of its creator or the third-party service provider.

13.3 No Professional Advice

The Service does not provide medical, fitness, legal, or professional advice. Content created by Users or Trainers, including workout suggestions or health tips, is not professional advice and should not be relied upon as such.

Always consult with qualified professionals (doctors, certified trainers, lawyers) before making decisions affecting your health, safety, or legal status.

13.4 No Safety or Quality Guarantee

Caliplaces does not guarantee the safety, quality, or suitability of any park, trainer, or service listed on the Service. You use parks and services at your own risk.

Parks may have hazards, be closed, or differ from descriptions. Trainers may lack proper qualifications or insurance. Caliplaces does not inspect, verify, or warrant any park, trainer, or service.

13.5 Assumption of Risk

You assume all risks of physical injury, illness, death, or other harm arising from:

  • Using facilities listed on the Service;
  • Training with any Trainer or participating in any event;
  • Following advice or suggestions from other Users or Trainers;
  • Any activity you undertake based on Service content.

13.6 Limitation of Liability

EXCEPT FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR WHERE PROHIBITED BY LAW, CALIPLACES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

  • DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL;
  • COST OF COVER OR SUBSTITUTE GOODS OR SERVICES;
  • BUSINESS INTERRUPTION OR LOSS OF USE;
  • PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE;
  • ANY OTHER LOSS OR DAMAGE, EVEN IF CALIPLACES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS.

13.7 Cap on Liability

EXCEPT FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR WHERE PROHIBITED BY LAW, CALIPLACES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED:

  • The total amount paid by you to Caliplaces in the 12 months preceding the claim; or
  • If you have paid nothing, EUR 100.

This cap applies to all claims, whether for breach of contract, tort, negligence, strict liability, or otherwise.

13.8 EU Consumer Protection Exception

For EU consumers, the limitations in Sections 13.6 and 13.7 do not exclude or limit liability for:

  • Gross negligence or intentional misconduct;
  • Death or personal injury caused by negligence;
  • Fraud or fraudulent misrepresentation;
  • Breach of mandatory consumer protection laws.

EU consumers retain all statutory rights under the Consumer Rights Directive (2011/83/EU) and other applicable law, which cannot be waived.

13.9 Trainer and Third-Party Liability

Caliplaces is not liable for any harm, injury, illness, or loss caused by:

  • Any Trainer or coach listed on the Service;
  • Any third-party service, product, or content;
  • Any park, facility, or location listed on the Service;
  • Other Users or their Content.

Your remedies for harm caused by third parties are against those parties, not against Caliplaces.

13.10 Modification or Discontinuation

Caliplaces is not liable for any modifications, suspensions, or discontinuance of any part of the Service or any related services.

14. Indemnification

14.1 Indemnification Obligation

You agree to indemnify, defend, and hold harmless Caliplaces and its officers, directors, employees, agents, and successors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service;
  • Your violation of these Terms or applicable law;
  • Your violation of any third-party rights (IP, privacy, etc.);
  • Content you create, submit, or share;
  • Your interactions with other Users or Trainers;
  • Any booking, transaction, or commitment you make through the Service;
  • Injury, harm, or loss arising from your use of parks or services.

14.2 Conditions of Indemnification

You are not required to indemnify Caliplaces for any loss to the extent caused by Caliplaces' gross negligence, willful misconduct, or breach of these Terms.

14.3 Defense of Claims

Caliplaces may participate in the defense of any indemnified claim at your expense. Caliplaces will not settle any claim without your prior written consent (not to be unreasonably withheld).

14.4 EU Consumer Exception

For EU consumers, indemnification obligations do not apply to claims arising solely from Caliplaces' breach of its legal obligations under these Terms or applicable consumer protection law.

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law principles. All disputes arising from these Terms are subject to Czech law.

15.2 Jurisdiction and Venue

You and Caliplaces consent to the exclusive jurisdiction of the courts of the Czech Republic (specifically, the Municipal Court in Prague) for all disputes. However, for consumers and as required by EU law, this exclusion does not deprive you of the protections afforded by mandatory consumer laws.

15.3 Rome I Regulation — Consumer Protection

If you are a consumer with a place of habitual residence in an EU Member State, you may bring legal proceedings in the courts of your Member State in accordance with Article 6 of the Rome I Regulation (EC No. 593/2008). These Terms cannot deprive you of the mandatory protections afforded by the laws of your home country.

15.4 Informal Resolution

Before initiating formal legal proceedings, we encourage you to contact us at legal@caliplaces.com to attempt to resolve any dispute amicably. We will attempt to resolve your complaint within 30 days.

15.5 Online Dispute Resolution (ODR)

For consumers in the EU/EEA, you may also use the Online Dispute Resolution platform provided by the European Commission at https://ec.europa.eu/consumers/odr. This platform allows you to submit complaints and seek resolution for disputes with online merchants without going to court.

15.6 Legal Proceedings

If informal resolution fails and you decide to pursue legal action, you may do so in the courts of the Czech Republic or, if applicable, the courts of your country of residence (for EU consumers). Each party will be responsible for its own legal fees unless otherwise awarded by a court.

15.7 Class Action Waiver

To the fullest extent permitted by law, you and Caliplaces agree that any legal proceedings will be conducted on an individual basis, not as a class action, collective action, or representative proceeding. You waive any right to participate in class actions against Caliplaces. However, this waiver does not apply where prohibited by mandatory EU or consumer protection law.

15.8 Attorneys' Fees

Except where prohibited by law, the prevailing party in any legal dispute may recover reasonable attorneys' fees and court costs from the non-prevailing party.

15.9 Equitable Relief

You acknowledge that breach of these Terms may cause irreparable harm for which monetary damages are inadequate. Caliplaces is entitled to seek equitable relief (injunction, specific performance) in addition to all other remedies available at law or equity.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed, and the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

If a provision cannot be severed without materially altering the intent of these Terms, the court may modify the provision to the minimum extent necessary to make it enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, Marketplace Terms, Trainer Terms, Refund & Cancellation Policy, and DSA Policy, constitute the entire agreement between you and Caliplaces regarding your use of the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

If there is any conflict between these Terms and any other policy or agreement, these Terms control unless explicitly stated otherwise.

No course of dealing, course of performance, or trade usage will modify these Terms unless expressly agreed to in writing by an authorized representative of Caliplaces.

18. Changes to These Terms

18.1 Right to Modify

Caliplaces may modify these Terms at any time in its sole discretion. Changes will be effective upon posting to the Service unless a different effective date is specified. Material changes will be announced with at least 30 days' written notice.

18.2 Consumer Rights to Reject Changes

For consumers in the EU, if we make material changes that are unfavorable to you, you have the right to reject the changes and terminate your contract with us without penalty within the notice period. If you continue using the Service after the notice period expires, you accept the modified Terms.

18.3 Notification of Changes

We will notify you of changes by:

  • Posting updated Terms on the Service;
  • Sending notice via email to your registered email address;
  • Displaying a prominent notice on the website or in the app;
  • Requiring affirmative acceptance if changes are material.

18.4 Continued Use as Acceptance

Your continued use of the Service following notice of changes constitutes your acceptance of the modified Terms. If you do not accept the changes, you must stop using the Service and delete your Account.
