Trainer & Coach Terms

1. Definitions

In these Trainer & Coach Terms, the following terms have the meanings specified:

  • "Caliplaces" or "Platform": Caliplaces s.r.o., the online marketplace operated at caliplaces.com and related mobile applications.
  • "Trainer": An independent service provider registered with Caliplaces to offer calisthenics training, fitness coaching, or related services.
  • "User" or "Client": An end-user or consumer who books and pays for training services from a Trainer via the Caliplaces platform.
  • "Services": Calisthenics training, fitness coaching, instruction, or related services offered by the Trainer through the platform.
  • "Booking": A confirmed arrangement between a User and a Trainer for the provision of Services on a specified date and time.
  • "Platform Commission": The fee charged by Caliplaces for facilitating a Booking, calculated as 15% of the service price.
  • "Payout": The amount transferred to the Trainer after deduction of commissions, fees, taxes, and refunds.
  • "Account": The Trainer's profile and account on the Caliplaces platform.

2. Trainer Eligibility and Onboarding

Eligibility Requirements

To become a Trainer on Caliplaces, you must meet the following requirements:

  • Be at least 18 years of age
  • Be a natural person or a registered business entity (sole proprietor, LLC, corporation, etc.)
  • Have a valid bank account in a supported jurisdiction (EU member state or other eligible countries)
  • Provide a valid government-issued ID or passport for identity verification (KYC)
  • Pass background checks and fraud detection screening
  • Agree to comply with all Caliplaces policies and applicable laws
  • Not be a Trainer banned from any competing marketplace or sanctioned entity
  • Possess relevant skills, experience, or certifications in calisthenics or fitness training (optional but recommended for credibility)

Know Your Customer (KYC) Verification

As part of onboarding, Caliplaces performs KYC verification to comply with anti-money laundering (AML) and counter-terrorism financing (CTF) regulations. You must provide:

  • Full legal name and current residential address
  • Valid government-issued ID (passport, national ID card, or driver's license)
  • Proof of address (utility bill, bank statement, or official document dated within 3 months)
  • Tax identification number (VAT ID, TIN, or equivalent)
  • Bank account details for Stripe Connect payout arrangement

KYC verification typically takes 1–3 business days. If verification fails, Caliplaces will notify you of the reason and provide an opportunity to resubmit corrected information.

Trainer Verification Badge

Trainers who complete KYC verification and meet quality standards receive a "Verified Trainer" badge on their profile, which increases visibility and user trust. Continued verification requires annual renewal.

3. Trainer Obligations

Service Quality

You agree to provide training services that meet professional fitness industry standards. This includes:

  • Delivering services as described in your profile and booking confirmation
  • Conducting sessions at the agreed time, duration, and location
  • Providing instruction appropriate to the User's stated fitness level and goals
  • Maintaining professional conduct and attire during sessions
  • Offering guidance tailored to the User's needs and any disclosed health conditions
  • Respecting User privacy and confidentiality

Availability and Responsiveness

You agree to:

  • Maintain accurate availability calendar on your profile (update at least weekly)
  • Respond to booking requests within the timeframe specified in your profile (typically 24–48 hours)
  • Accept, decline, or propose alternative times for legitimate requests promptly
  • Confirm attendance before each session (within 24 hours)
  • Provide advance notice (at least 24 hours) if you must cancel a confirmed booking, except in emergencies
  • Communicate professionally with Users via the Caliplaces messaging system

Professional Standards

You agree to:

  • Conduct business professionally and ethically
  • Comply with all applicable laws, regulations, and licensing requirements in your jurisdiction
  • Not engage in illegal activities or fraud
  • Respect intellectual property rights and copyrights
  • Maintain appropriate insurance (professional liability, public liability) as required by law
  • Adhere to the Caliplaces Acceptable Use Policy and Terms of Service

Safety Obligations

You agree to provide training in a safe manner, including:

  • Assessing User fitness levels and any health conditions before training
  • Providing appropriate warm-up and cool-down guidance
  • Explaining proper form and technique to prevent injury
  • Stopping or modifying exercises if a User appears injured or in distress
  • Recommending medical evaluation for Users with signs of injury or health issues
  • Ensuring training sessions occur in safe locations free from hazards

4. Commission and Fees

Platform Commission Rate

Caliplaces charges a platform commission on each completed Booking:

Platform Commission: 15% of the session price (excluding VAT)

The commission is deducted from the booking amount before payout to your Stripe Connect account.

Payment Processing Fees

In addition to the platform commission, payment processing fees charged by Stripe are deducted:

  • Card processing fees: 2.9% + €0.30 (EU) or equivalent in your region
  • Bank transfer fees: Variable, depending on transaction size and region
  • Currency conversion fees (if applicable): Stripe's standard rate

Transaction Fee Example

Example calculation for a €100 booking:

  • Booking price: €100.00
  • Stripe processing fee (2.9% + €0.30): €3.20
  • Platform commission (15%): €15
  • Estimated payout to Trainer: €85

(Actual amounts may vary based on applied taxes, refunds, or disputes)

No Hidden Fees

All fees are displayed transparently to Users before booking confirmation. You can view your expected payout for each booking in your Caliplaces dashboard before accepting.

5. Payment Terms

Stripe Connect Integration

Payouts are processed through Stripe Connect, which securely connects your bank account to the Caliplaces platform. You must complete the Stripe Connect onboarding to receive payouts.

Stripe Connect provides:

  • Secure bank account verification
  • Automatic payment processing and settlement
  • Detailed transaction reporting in your Stripe dashboard
  • Tax documentation (1099 equivalents in some regions)

Payout Schedule

Payouts to your Stripe Connect account follow this timeline:

  • Settlement: 2–5 business days after a session is completed and the cancellation period expires (typically 3–4 days after the session date)
  • Frequency: Payouts are batched and processed daily or according to Stripe's schedule
  • Timing: Payouts arrive in your bank account within 1–3 business days after settlement
  • Weekends/Holidays: Processing times may extend over bank holidays

Minimum Payout Threshold

You must accumulate a minimum balance before payouts are triggered. The minimum payout amount is set by Stripe and varies by region, typically €10–25. Until this threshold is met, funds remain in your account awaiting accumulation.

Currency and Exchange Rates

Payouts are processed in EUR by default. If your bank account is in a different currency:

  • Stripe converts at its standard exchange rate (typically 1–2% below market rate)
  • Your bank may apply additional conversion fees
  • You can request Stripe to pay in an alternative currency if supported in your region

Failed or Declined Payouts

If a payout fails (e.g., incorrect bank details, account closed):

  • Caliplaces will notify you immediately
  • You must update your bank details within 7 days
  • Payout will be retried; you may face additional bank fees for failed attempts
  • Funds are held in your Caliplaces account pending successful transfer

Dispute Holds and Refunds

If a User disputes a Booking or requests a refund:

  • Payment may be held pending dispute resolution
  • If a refund is issued to the User, the amount is deducted from your account (if funds have already been paid out, Caliplaces may pursue recovery)
  • Chargebacks triggered by Users may result in chargeback fees charged to you

6. Tax Obligations

Trainer Tax Responsibility

As an independent Trainer (not an employee of Caliplaces), you are solely responsible for:

  • Calculating and paying income tax on earnings
  • Registering for VAT/GST if required in your jurisdiction
  • Filing tax returns with relevant authorities
  • Paying employment contributions or self-employment taxes
  • Maintaining proper accounting records and receipts

Tax Documentation

Caliplaces will provide:

  • Annual transaction summaries (available in your dashboard)
  • 1099-NEC or equivalent tax documentation in some jurisdictions (upon request or as required by law)
  • Monthly or annual payout reports detailing commissions and fees deducted

It is your responsibility to report all earnings to tax authorities and consult with a tax professional if uncertain about your obligations.

VAT and Invoicing

If you are VAT-registered:

  • You may provide your VAT ID during onboarding
  • VAT will be calculated and displayed separately in invoices
  • You remain responsible for VAT compliance and reporting

7. Content and Profile Requirements

Profile Information

Your Trainer profile must include:

  • Professional photo or headshot
  • Full name or professional name
  • Brief biography describing your background and experience
  • Specializations or training focus areas
  • Service offerings and pricing structure
  • Availability calendar (accurate and updated regularly)
  • Contact preferences (response time, communication methods)

Accuracy and Truthfulness

All information in your profile must be accurate, current, and not misleading. You agree not to:

  • Claim false certifications, credentials, or qualifications
  • Use fake photos or misleading images
  • Exaggerate experience or results
  • Make medical claims or promise outcomes not supported by evidence
  • Include content that violates intellectual property rights

Service Descriptions

Service descriptions must clearly state:

  • Type of training offered (e.g., one-on-one coaching, group sessions, online training)
  • Session duration (e.g., 60 minutes)
  • Target fitness level (beginner, intermediate, advanced)
  • Price per session (including currency)
  • Any special conditions or requirements (e.g., minimum session package, cancellation policy)

Profile Review and Moderation

Caliplaces may review your profile for compliance with these terms. We reserve the right to:

  • Request clarification or corrections to misleading information
  • Suspend your profile if it violates policies
  • Remove photos, content, or information that violates these terms
  • Require re-verification if information appears false or outdated

8. Data Protection Obligations

GDPR Compliance

As a data processor under GDPR Article 28, you agree to:

  • Process personal data only on the documented instructions of Caliplaces (the data controller)
  • Ensure staff handling data are bound by confidentiality
  • Implement appropriate technical and organizational security measures
  • Assist Caliplaces in responding to data subject rights requests (access, deletion, portability)
  • Notify Caliplaces immediately of any data breaches involving User personal data
  • Not transfer data outside the EU without appropriate safeguards

Data Processing Agreement (DPA)

A formal Data Processing Agreement (DPA) compliant with GDPR Article 28 is available upon request. By accepting these terms, you agree to execute the DPA if requested by Caliplaces.

User Data Access

Through the Caliplaces platform, you may access User personal data necessary to provide Services, including:

  • User name and contact information
  • Session dates, times, and session history
  • User-provided health or fitness information (if shared in booking notes)
  • Messages between you and the User

You must use this data exclusively for providing the booked Services and must not:

  • Share data with third parties without User consent
  • Use data for marketing or commercial purposes unrelated to Services
  • Retain data longer than necessary to provide Services
  • Sell, license, or transfer User data

Privacy Policy

For detailed information about how Caliplaces processes and protects personal data, see the Privacy Policy. Trainers must ensure their own use of User data complies with applicable privacy and data protection laws.

9. Ranking Transparency (P2B Regulation)

Ranking Algorithm Disclosure

In compliance with the P2B Regulation (EU 2019/1150), Caliplaces discloses the parameters used to rank and display Trainer profiles:

  • User Rating & Reviews (40%): Average rating and volume of verified reviews
  • Completion Rate (25%): Percentage of completed bookings
  • Response Time (15%): Average time to accept or respond to booking requests
  • Recency (10%): Freshness of profile activity
  • Profile Completeness (10%): Quality and completeness of profile information

Ranking Modifications

If Caliplaces modifies ranking algorithms, you will receive:

  • Written notice at least 30 days before changes take effect
  • Detailed explanation of the modifications and their rationale
  • Information on how changes may affect your profile visibility

Request for Ranking Information

You may request detailed information about your specific ranking position and how changes in the algorithm parameters would affect your ranking. Submit requests to support@caliplaces.com with "P2B Ranking Information Request" in the subject line.

10. Differentiated Treatment Disclosure (P2B Regulation Art. 7)

Fair Treatment Commitment

Caliplaces commits to treating all Trainers fairly and without unlawful discrimination. We do not provide preferential ranking or visibility to Trainers in exchange for higher commissions, payments, or other financial arrangements.

Preferential Treatment Restrictions

Caliplaces does not:

  • Offer paid rankings that boost visibility independent of quality metrics
  • Charge Trainers for featured placement or advertising within organic search results
  • Apply different ranking rules based on commission rates
  • Provide unfair advantage to Trainers owned or affiliated with Caliplaces
  • Discriminate against Trainers based on membership status or tier

Advertisement vs. Organic Results

If Caliplaces introduces paid advertising features in the future, advertisement and organic ranking are clearly separated. Organic rankings are determined solely by quality and engagement metrics.

11. Complaint Handling (P2B Regulation Art. 11)

Complaint Rights

If you believe Caliplaces has violated these terms, applied unjust ranking rules, or treated you unfairly, you have the right to file a formal complaint.

Complaint Submission

Complaints must be submitted in writing to: support@caliplaces.com or legal@caliplaces.com

Your complaint should include:

  • Your full name and account details
  • Detailed description of the complaint
  • Relevant dates and evidence (screenshots, transaction details, etc.)
  • Requested resolution or remedy
  • Confirmation that this is your first submission (or reference prior complaint number)

Complaint Response Timeline

Caliplaces commits to:

  • Within 5 business days: Acknowledge receipt of complaint and provide reference number
  • Within 30 days: Provide substantive response addressing all points raised
  • Within 60 days: Issue final decision (compliant with P2B Art. 12)

Complaint Decision

The complaint response will include:

  • Clear explanation of Caliplaces's position
  • Evidence supporting the decision
  • Remedy offered (if applicable): correction of ranking, account reinstatement, financial compensation, or explanation of no breach
  • Information about mediation rights (see Section 12)

12. Mediation (P2B Regulation Art. 12)

Mediation Right

If you are dissatisfied with Caliplaces's complaint response, you have the right to seek mediation before pursuing legal action.

Independent Mediator

Caliplaces has designated an independent mediator to resolve disputes with Trainers. The mediator:

  • Is independent and impartial
  • Has expertise in e-commerce platforms and applicable regulations
  • Will hear both sides fairly and issue a binding or non-binding recommendation

Mediation Process

To request mediation:

  1. Submit a mediation request within 30 days of receiving Caliplaces's complaint response
  2. Provide the same documentation as your complaint plus any additional relevant information
  3. The mediator will contact both parties to schedule a hearing (typically within 14 days)
  4. Both sides present their case; mediator issues a decision within 30 days of the hearing
  5. The mediation decision is final and binding unless either party rejects it within 7 days (in which case legal remedies remain available)

Mediation Costs

Caliplaces bears the cost of mediation. There is no charge to Trainers for requesting or participating in mediation.

13. Restriction, Suspension, and Termination

Grounds for Termination

Caliplaces may restrict, suspend, or terminate a Trainer account for:

  • Violation of these Trainer Terms or the Acceptable Use Policy
  • Illegal activity or serious misconduct
  • Safety risks to Users
  • Fraud, deception, or misrepresentation
  • Repeated complaints or poor quality ratings (rating below platform minimum)
  • Failure to respond to support inquiries or address compliance issues
  • Non-compliance with KYC/AML requirements
  • Breach of data protection obligations

Termination Notice (P2B Regulation)

Material breaches or serious misconduct: Caliplaces may suspend your account immediately and provide written notice with:

  • Clear statement of the breach or violation
  • Specific policy or term violated
  • Date of suspension/termination

Standard termination: For non-material violations, Caliplaces will provide:

  • 30 days advance written notice of intention to terminate
  • Detailed explanation of the reason(s)
  • Opportunity to remedy the issue within 15 days (if applicable)
  • If unresolved, account is terminated on the 30th day

Account Wind-Down

Upon termination:

  • Your profile is removed from search and discovery
  • Existing bookings remain valid; you must complete confirmed sessions
  • Your account is archived; you cannot accept new bookings
  • Outstanding payouts will be processed according to the payout schedule
  • You may request data export or account deletion (subject to legal retention requirements)

Reapplication

After termination, you may reapply to become a Trainer, subject to:

  • A waiting period of at least 30 days
  • Compliance demonstration and corrective actions
  • Approval by Caliplaces (not automatic)
  • Re-verification of KYC and qualifications

Restriction and Temporary Suspension

Caliplaces may also:

  • Restrict visibility: Reduce your profile ranking or remove featured placement for violations that are correctable
  • Suspend temporarily: Pause your account for a set period (e.g., 7–30 days) while compliance issues are addressed
  • Require improvements: Demand specific corrective actions (e.g., certification, retraining) within a defined timeline

14. Intellectual Property

Your IP Rights

You retain all intellectual property rights to:

  • Your profile photos, videos, and content you upload
  • Original descriptions, workout plans, and training materials you create
  • Your training methodologies and business systems (unless proprietary Caliplaces technology)

License to Caliplaces

By posting content on Caliplaces, you grant Caliplaces a non-exclusive, royalty-free license to:

  • Display your profile, photos, and descriptions to Users
  • Use your content for platform marketing and promotional purposes
  • Create derivative works (e.g., featured trainer showcases, testimonials)
  • Archive and analyze your content for platform improvement

This license survives termination of your account for historical and archival purposes.

User-Generated Content

You may not:

  • Upload content you don't own or have permission to use
  • Infringe on third-party copyrights, trademarks, or publicity rights
  • Use third-party photos, music, or videos without proper licensing
  • Plagiarize workout plans, content, or training materials from other sources

Violations may result in content removal, account suspension, or termination.

Copyright Infringement Claims

If you believe another Trainer has infringed your intellectual property rights, submit a DMCA notice to legal@caliplaces.com with:

  • Description of the copyrighted work
  • Location of the infringing content on Caliplaces
  • Your good faith statement that the use is unauthorized
  • Statement under penalty of perjury (if applicable)
  • Your contact information and signature

15. Insurance Requirements

Insurance Recommendation

Caliplaces strongly recommends that all Trainers maintain professional liability and public liability insurance. Insurance protects you against claims from Users who may claim injury or harm related to your training services.

Mandatory Insurance (Jurisdiction-Dependent)

In some jurisdictions, fitness trainers are legally required to maintain liability insurance. Check the laws in your country or region. If required:

  • You are solely responsible for obtaining and maintaining coverage
  • You must provide proof of insurance upon request
  • Your insurance must cover at least €1,000,000 in bodily injury liability
  • Failure to maintain required insurance may result in account suspension

Insurance Coverage

Recommended insurance should cover:

  • Bodily injury claims from Users during training sessions
  • Property damage (equipment damage, facilities damage)
  • Professional liability (advice given, negligent instruction)
  • Coverage in the jurisdictions where you provide services

16. Liability and Indemnification

Trainer Liability

You acknowledge and agree that:

  • You are solely responsible for the quality, safety, and legality of your Services
  • Caliplaces is not liable for injury, harm, or damage arising from your Services
  • You are responsible for any claims, lawsuits, or damages resulting from your conduct
  • You assume all risk associated with providing training services

Indemnification

You agree to indemnify, defend, and hold harmless Caliplaces, its officers, employees, and agents from any and all:

  • Claims, lawsuits, and damages arising from your Services
  • Violations of applicable laws or regulations
  • Breach of these terms or your obligations
  • Intellectual property infringement claims related to your content
  • Personal injury or property damage caused by your conduct
  • Tax disputes or non-compliance with tax obligations
  • Data breaches or mishandling of User personal data

Caliplaces Limitation of Liability

To the extent permitted by law, Caliplaces's liability for damages arising from these terms is limited to:

  • Direct damages directly caused by Caliplaces's gross negligence or willful misconduct
  • The total platform commissions paid by Caliplaces to you in the 12 months preceding the claim

Caliplaces is not liable for indirect, consequential, or lost profits damages.

17. Governing Law and Dispute Resolution

Governing Law

These Trainer & Coach Terms are governed by the laws of the Czech Republic and the European Union. You agree to comply with all applicable EU and Czech laws.

Dispute Resolution Hierarchy

Disputes between you and Caliplaces are resolved through the following hierarchy:

  1. Negotiation (15 days): Parties attempt to resolve informally through good-faith discussion
  2. Complaint Handling (30 days): Formal complaint process (P2B Art. 11, see Section 11)
  3. Mediation (30 days): Independent mediation (P2B Art. 12, see Section 12)
  4. Arbitration or Litigation: If mediation fails, disputes may be resolved through arbitration (optional) or Czech courts

Jurisdiction and Venue

If disputes proceed to litigation, the competent courts are in the Czech Republic. Both you and Caliplaces consent to the jurisdiction of Czech courts.

Interim Measures

Either party may seek provisional or interim measures (e.g., injunction, account freezing) from a court of competent jurisdiction without affecting the obligation to pursue the dispute resolution process.

18. Changes to Terms

Right to Modify

Caliplaces reserves the right to modify these Trainer & Coach Terms at any time. Material changes are communicated with advance notice as required by the P2B Regulation:

  • Minor updates: Effective immediately (clarifications, formatting)
  • Moderate changes: 30 days advance notice (fee adjustments, new features)
  • Material changes: 90 days advance notice (fundamental policy shifts, business model changes)

Notification

Changes are communicated through:

  • Email to your registered account email
  • In-app notification banner
  • Publication on the Caliplaces legal website
  • Dashboard announcement

Acceptance and Termination Right

Continued use of Caliplaces after changes become effective constitutes acceptance. If you do not accept material changes, you may terminate your account within the notice period and request settlement of outstanding payouts.
